How a limited liability company or a cooperative grants mandates
This page contains information about different ways for a limited liability company, a housing company or a cooperative to grant mandates and about who has the right to grant mandates.
Two ways to grant mandates: independent authorisation and a mandate application
The easiest and quickest way to grant mandates is in the Suomi.fi e-Authorizations service, at https://www.suomi.fi/e-authorizationsOpens in a new window.. Mandates are granted either alone or jointly. When mandates are granted jointly, one person starts the authorisation and the others validate it. The granted mandates enter into force immediately or at the desired point in time.
However, it is not always possible to grant mandates independently in Suomi.fi. If the company, housing company or cooperative cannot grant mandates independently, you can use authorisation with an application. The mandates will enter into force at the earliest when the Digital and Population Data Services Agency has processed the application.
Note that in some cases, acting on behalf of a company, a housing company or a cooperative is also possible without a separate mandate.
Acting on behalf of a company without a separate mandate is possible only for persons with a role entered in the Trade Register or the Business Information System that entitles them to represent and the role has been specified in the service as a role entitled to act on behalf.
In general partnerships or limited partnerships, mandates can be granted jointly by the following persons, based on the method of representation recorded in the Trade Register:
the authorised persons of a limited liability company or a cooperative jointly or
an authorised person jointly with the chair of the board or a board member.
The process of authorising jointly can be started by any of the authorised persons entered in the Trade Register for the limited liability company or the cooperative.
To find out who in your housing company may grant mandates in Suomi.fi e-Authorizations, check your company’s authority to sign rule and whether any rights to grant mandates have been given to anyone in the company.
The housing company’s authority to sign rule determines whether someone can represent the company alone or whether more than one person are required to sign on behalf of the company.
If someone has the right to represent the company alone, the person may also grant mandates on behalf of the company alone.
If several persons are required to jointly sign on behalf of the company, these persons may also grant mandates jointly on behalf of the company.
If the authority to sign rule is not known in your housing company, it can be ordered from the Finnish Patent and Registration Office.
