Who can independently grant organisation’s mandates?

When you identify yourself in Suomi.fi, you can check what roles in companies have been entered for you in the Trade Register in the Your data section. Opens in a new window.

Mandates can be alone granted by the following persons:

• The managing director or the deputy managing director
• Private trader, agricultural operator and forestry operator
• A partner in a general partnership or a responsible partner in a limited partnership who has the right to represent the company alone
• Other signatory with the right to represent the company alone
• A person to whom the company has given the right to grant a mandate or a representative's right to grant a mandate in Suomi.fi e-Authorizations

Mandates can be jointly granted by the following persons:

• Jointly by all the board members who have been entered in the Trade Register
• Depending on the method of representation entered in the Trade Register, jointly by the board chair and one board member, or jointly by two board members
• Depending on the method of representation entered in the Trade Register, jointly by all partners in a general partnership or a limited partnership or jointly by two partners and, if the information on the right to sign the business name has not been entered in the Trade Register, jointly by all partners 
• Depending on the method of representation entered in the Trade Register, jointly by authorised persons of a limited liability company or a cooperative, jointly by an authorised person and the board chair, or jointly by an authorised person and a board member

Granting mandates on behalf of a limited partnership or a general partnership in Suomi.fi e-Authorizations is not possible if the Finnish Trade Register extract lacks the entry about the signing rights ("Signing on behalf of the company"). This information can be checked from the Finnish Patent and Registration Office (PRH):  

1. Use the PRH feedback formOpens in a new window. to submit a request to the Finnish Trade Register to check the partnership’s details.
2. Write in the text box that you are unable to grant mandates in Suomi.fi e-Authorizations and add the Business ID for the limited partnership or general partnership, the name of the person who cannot grant mandates, and the email address to which you wish to receive a reply.
3. The PRH will send the information once the person's right to sign on behalf of the partnership has been checked and the information has been updated in the register if necessary. If the person's information is correct in the register and the person has the right to sign on behalf of the partnership on their own, the person can grant mandates in Suomi.fi e-Authorizations after the update.

Parties who can independently grant mandates on behalf of an association include

• the association’s chairperson, a member of the board or other signatory for whom the right to represent the association alone has been recorded in the Finnish Register of Associations
• a person to whom the association has given the right to grant mandates or a representative's right to grant a mandate.  

If granting a mandate on behalf of the association is not possible in Suomi.fi e-Authorizations, even though the person has been entered in the Finnish Patent and Registration Office’s (PRH) register of associations to represent the association on their own:

1. Use the PRH feedback formOpens in a new window. to submit a request to the Finnish Register of Associations to check the association’s details.
2. Write in the text box that you are unable to grant mandates in Suomi.fi e-Authorizations and add the Business ID for the association, the name of the person who cannot grant mandates and the email address to which you wish to receive a reply.
3. The PRH will send the information once the information of the person entitled to represent has been corrected in the register and they can grant mandates in Suomi.fi e-Authorizations.

The persons who can independently grant mandates on behalf of an agricultural partnership, a forest property partnership or a real estate partnership include: 

• all partners jointly, provided that all partners are persons
• a person to whom the partnership has given the right to grant a mandate or a representative's right to grant a mandate in Suomi.fi e-Authorizations.

Only persons who have been granted the right to grant a mandate or a representative’s right to grant a mandate can independently grant mandates on behalf of other organisations and foreign companies.

Other organisations include state or municipal organisations, educational institutions, the Evangelical Lutheran Church, the Orthodox Church, religious communities, foundations, investment funds, unemployment funds, insurance funds, personnel funds, jointly owned forests, road maintenance associations, cooperatives and estates of deceased persons with a business ID.

The mandate can be granted or invalidated by means of the Mandate service provided by officials with an application, if an organisation is unable to authorise independently in Suomi.fi e-Authorizations. In this case, the mandate is registered in the authorisation register or invalidated on the basis of the application.

The parties that need the mandate service provided by officials, i.e., authorisation with an application, include:

• Public administration and some associations and partnerships
• Some companies and private entrepreneurs

• the incomplete applications that you have completed in Suomi.fi
• the applications in which you are a signatory and that are waiting for your approval.

The mandate service provided by officials enables granting 

• a right to grant a mandate, in which case the person granted the mandate can manage the mandates that the company or organisation grants to others in Suomi.fi e-Authorizations.
• a representative’s right to grant a mandate, in which case the person granted the mandate can manage the mandates granted to the company or organisation in Suomi.fi e-Authorizations
• a mandate for transactions, if the use of Suomi.fi e-Authorizations is not possible due to, for example, a lack of skill or the representatives not having means of identification for electronic services.
